The Rooverse platform – Our Goal

Rooverse is a social‐networking platform designed for the sharing of content created by real people.

Our goal is to provide a platform that is free from AI-generated content whilst rewarding authentic participation and interaction between human users. The Rooverse platform does this by combining a human‑first social experience with an AI content‑detection system, certain features and app capabilities powered by RooChip Lite, an internal credit system explained in more detail in the provisions of these Terms of Service to follow.

Rooverse Terms of Service

Please read these Rooverse Terms of Service ("Terms of Service") carefully as they contain important information about your legal rights, remedies and obligations. By accessing or using the Rooverse platform, you agree to comply with and be bound by these Terms of Service.

The Rooverse platform may only be used for personal use by individual adult consumers over the age of 18 located in United Kingdom.

These Terms of Service do not affect any legal rights that you have as a consumer under consumer protection legislation in the United Kingdom.

Who we are

"We", "us" or "our" means The Prescient Pachyderm Ltd (company number 16846775 registered in England and Wales), registered address Suite 1 First Floor, 3 Jubilee Way, Faversham, Kent, United Kingdom, ME13 8GD.

What these Terms of Service govern

These Terms of Service govern your access to and use of:

  • any services provided by us, including our apps, our websites, software and all other services (collectively, "Rooverse Services"); and
  • any text, pictures, photos, audio, videos or other materials or arrangements of materials created, uploaded, downloaded or appearing on the Rooverse Services, including those owned by us and other users of the Rooverse Services (collectively referred to as "Content").

For the purpose of these Terms of Service, the Rooverse Services and the Content are together referred to as the "Rooverse platform".

Please note that additional terms and policies may apply to additional products or features that we may make available from time to time, including any functionality, features or services that are powered by the RooChip Lites. Please see the section titled "Additional terms and policies" regarding additional terms and policies that may apply.

How we collect and use your personal information

Our collection and use of personal information in connection with your access to and use of the Rooverse platform is described in our Privacy Notice.

Our contract with you

Your use of the Rooverse platform is conditional on your acceptance of, and compliance with, these Terms of Service. By registering with us and using the Rooverse platform, you are confirming your acceptance of these Terms of Service, which shall constitute a legally binding agreement ("Agreement") between you and Rooverse (as defined below). We recommend that you download a copy these Terms of Service and store them for your future reference for the purpose of you understanding your and our rights and obligations under the Agreement. These Terms of Service are however, subject to change without prior notice to you. It shall be your responsibility to routinely check these Terms of Service to ensure nothing has changed. By continuing to use the Rooverse platform, you are consenting to these Terms of Services, as may be amended from time to time, in full.

Additional terms and policies

Additional terms and policies may apply to additional products or features that we may make available from time to time, including any functionality, features or services powered by RooChip Lites or any other methods. These include:

  • RooChip Lite Terms: these terms govern the RooChip Lites. While the platform may make certain functionalities, features and/or services available through RooChip Lites, the user understands that their relationship with the RooChip Lites shall be exclusively with the third party owning and offering the RooChip Lite Terms. The user should make sure they are fully aware of and have understood these Terms, as the Rooverse platform shall accept no responsibility for the same.
  • RooChip Lite Rewards: this program is something which may be implemented by the company issuing the RooChip Lites and will govern how users may be rewarded with RooChip Lites, including when users like and share Content on the Rooverse platform. While a separate policy may be prepared for this in the future, for now, these conditions shall be covered in the RooChip Lite Terms referred to above.
  • Rooverse Policies: we may from time to time publish policies about how to use the Rooverse Services on the Rooverse platform.

By using any of these additional services, features and functionality, you agree to such additional terms and conditions, which shall form part of our Agreement with you.

References to the Rooverse Services in these Terms of Service shall include any additional features, products, or services that we provide to in connection with the use of the Rooverse platform.

Summary of Key Terms

It is important that you read these Terms of Service in full and if you have any queries do not hesitate to get in contact. To support with your review, we have identified a number of key items which we want to draw to your attention:

  • Only eligible users may use the Rooverse platform: The Rooverse platform may only be used for personal use by individual adult consumers over the age of 18. If you are under the age of 18 you are not permitted to use the Rooverse platform. If you are not located in the United Kingdom, your use of the Rooverse platform is subject to the provisions relating to users outside the United Kingdom set out in the section of these Terms of Service titled "Eligibility to use the Rooverse platform".
  • RooChip Lites: Certain features of the platform shall be powered by RooChip Lites. You can find out more about RooChip Lites at: RooChip Lite Terms.
  • No AI Generated Content: You may not use the Rooverse platform to upload, post or share any Content that has been created using gen-AI tools or which has otherwise been created or modified using artificial intelligence tools.
  • Right to change your mind: You have a legal right to change your mind about the Agreement that you have entered into with us and receive a refund of sums that you have paid to us – see the section of these Terms of Service titled "Right to change your mind".
  • Your use of the Rooverse platform: When using the Rooverse platform, including when creating, uploading, posting and sharing Content and interacting with other users, you must treat us and other users with decency and respect. You must not engage in conduct that is illegal, harmful, threatening, abusive, disruptive or promotes violence, discrimination, bigotry, racism, hatred, harassment or harm against any individual or group.
  • No scraping: You must not scrape or use any automated tool to extract information or other content from the Rooverse platform or any of the Content without our express written permission.
  • We have broad enforcement rights: We take breaches of the Agreement and any infringement of the rights of other users and other persons seriously. We have broad rights to take action against you if you are in breach, including for example removing Content, shutting down your account and taking legal action. We may also report your conduct to relevant authorities and assist them in investigations, including where required by law in any relevant jurisdiction.
  • Your rights in Content: You must only post Content that you have created and which you own. In addition, if any person is identifiable in any Content, you must ensure that you have all necessary permissions from each and any person to post any such Content.
  • You grant us certain rights: You agree that we can share any Content that you post with other users of the Rooverse platform and as otherwise for the purpose of providing the Rooverse platform. Please note that, if you delete your account or any Content, copies of such Content may remain on the Rooverse platform but will not be accessible to you.
  • We grant you certain rights: We provide you with a limited right to use the Rooverse platform solely for your own personal use for the purpose of enabling you to create, upload, post or share any Content and interact with other users of the Rooverse platform.
  • Changes: We may make changes to these Terms of Service or the Rooverse platform from time to time, including by adding or removing particular features. We will aim to give you reasonable advance notice of any significant adverse changes which we consider may impact you.
  • Online Safety Act: We are subject to the Online Safety Act 2023 ("OSA"), which was enacted for the purpose of making the use of regulated internet services safer for individuals in the United Kingdom. As a regulated platform provider, we have a number of duties under the OSA, including regarding illegal content, protecting children's online safety, content reporting and freedom of expression and privacy.
  • Our commitment to you: In addition to our responsibilities under the OSA, We shall use reasonable care and skill to make the Rooverse platform a safe and secure environment for our users. However, the majority of Content available on the Rooverse platform is created by other users and we cannot verify every post and interaction on the Rooverse platform before it occurs.
  • Reporting infirming and harmful Content: We seek your support in helping us identify infringing and harmful Content. If you become aware of any Content or account that you consider infringes these Terms of Service, applicable laws or which you otherwise consider may be harmful, please report it to us so we can take appropriate action. Community users can report violations on the Rooverse platform though our reporting functions.
  • Influencers and branded Content: The Rooverse platform may not be used by businesses, save that we permit verified users to post branded Content (which may relate to or promote their own or others' businesses or products) on the Rooverse platform, provided that users comply with these Terms of Service (including regarding the nature of any Content). In addition, if you post any Content on the Rooverse platform in exchange for payment or any other incentive, you must clearly identify that your post is an advert and comply with all relevant laws and guidelines regarding advertising and promotion of Content.
  • Complaints & Challenges: if you have a complaint or concern regarding the Rooverse platform, you can contact us using one of the contact methods detailed in the contact us section of these Terms of Service. You also have the right to bring a claim for our breach of contract where we are in breach of our obligations to you under the Agreement.

Eligibility to use the Rooverse platform

The Rooverse platform may only be used for personal use by individual consumers over the age of 18. If you are under the age of 18 or are a business, you are not permitted to use the Rooverse platform. If you are not located in the United Kingdom, you may only use the Rooverse platform on the following basis: (i) you agree to be bound by these Terms of Services and any other terms and policies forming part of this Agreement in the form made available to you in the English language, (ii) you confirm that your entry into and compliance with this Agreement does not infringe the laws of any jurisdiction in which you are located with which you will also comply at all times when using the Rooverse platform, (iii) you will compensate us for any losses, fines or costs we sustain that arise as a result of your entry into or compliance with this Agreement and/or use of the Rooverse platform.

Unless specifically authorised by us, no person may enter into an Agreement, or otherwise provide or enable access to the Rooverse platform on behalf of a person that is not eligible to use the Rooverse platform. If any person does seek to provide or enable access to the Rooverse platform on behalf of a person that is not eligible to use the Rooverse platform, we may refuse and block access to both the person requesting access as well as the person that sought to obtain access on that person's behalf.

Account registration and verification

To access and use the Rooverse platform you must register an account ("Rooverse Account"). We will also ask you to confirm your agreement to the Terms of Service when you register a Rooverse Account. If you disagree with the Terms of Service, you will not be permitted to complete your registration and you shall not be entitled to use the Rooverse platform. You further agree that your continued access to or use of the Rooverse platform will constitute acceptance of the Terms of Service, as modified from time to time in accordance with these Terms of Service.

To register for a Rooverse Account you will need to provide a valid email address and you will be required to create a unique username and password. During onboarding, you will also be asked to:

  • create your profile and provide details of your date of birth, country of residence and telephone number;
  • provide details of your hobbies and interest to enable us to personalise your experience.

If you provide your mobile number, you will be asked to consent to Rooverse communicating with you via SMS. You will be able to opt out of mobile and email communications via your Rooverse Account settings.

You are not allowed to register more than one Rooverse Account unless we authorise it in writing. Similarly, you are not allowed to transfer your Rooverse Account (including control over or any right to use the Rooverse Account) to any other person without our written authorisation.

When you apply to open a Rooverse Account, you can request either:

  • Unverified User Access: this will give you limited rights to view Content only but will not enable you to create, like or share Content, engage with other users, receive or access features powered by RooChip Lites or access any other features of the Rooverse platform ("Unverified User");
  • Verified User Access: this will give you standard access to the Rooverse, including the ability to create, like and share Content, engage with other users and access features which are powered by the RooChip Lites as detailed in these Terms of Service. We make a charge for Verified User Access ("Verified User").

Your access to and use of the Rooverse platform (whether as an Unverified User or a Verified User) shall be subject to verification checks, including checks regarding your age and location. Kindly note that this verification service may be provided by a third-party verification service provider. Where this is the case, you will be notified that they are being redirected to a third-party service/site. By continuing with such verification, you are deemed to have consented to this, and to such third-party service provider completing the service, including but not limited to, the third-party service provider accessing, processing and retaining submitted data. For this reason, you should ensure that you are familiar with their terms and conditions before proceeding. You will be deemed to have consented and having accepted these, upon proceeding with your submission. Rooverse shall not be responsible for any actions and/or inactions of any third-party service provider. Any complaints and/or actions should be brought up with the third-party service provider directly.

In addition, if you wish to apply to be a Verified User, we will need to undertake enhanced identification and verification checks. Where this is the case, you shall be required to provide such information and evidence as may be required to satisfy the necessary regulatory and legal obligations of the party conducting the enhanced verification checks, including information and evidence to satisfy applicable and necessary checks relating to anti-money laundering, antiterrorist financing, anti-bribery and corruption and sanctions compliance.

The types of information and evidence that may be required includes a copy of your passport, a national ID card, photo-driving licence, a bank statement, utility bill or other evidence of your address or such other identifying documents or information that may be requested and required to adhere to applicable rules and regulations applying to the party collecting such information and/or documentation from time to time.

It may also be the case that your account may need to be re-verified or otherwise your identity and other personal details re-confirmed at any time as long as you hold a Rooverse Account. If you do not respond to a request from to verify or re-confirm the necessary information within the timeframe specified in that request, your account may be suspended without prejudice to Rooverse and/or any other third parties involved.

We use third parties to undertake the verification exercise, which includes Didit (https://Didit.com), a third party provider of identity verification solutions. It may also be the case that Didit acts as the data processor of the abovementioned information, conducting its activities in accordance with its terms and conditions and applicable Data Processing Policy. Didit may handle identity verification (ID, liveness and intellectual property analysis).

The user will be redirected to the applicable third-party site upon choosing to submit its application for verification. The user acknowledges and understands that these are not operated and/or owned by Rooverse and the user shall familiarise themselves with the applicable third-party terms and conditions before use. Rooverse shall not be responsible for any lack of doing this.

We shall be entitled to accept or reject requests to open a Rooverse Account at our sole discretion but we agree that we shall act in a fair and non-discriminatory manner when considering any application.

If we accept your application for a Rooverse Account following completion of all relevant verification checks, we will confirm by sending an email to the email address that you provided at registration.

You must:

  • choose an appropriate username. This means you may not choose a username that is obscene, infringes any third party rights, is misleading or does not comply with the section of these Terms of Service titled "Your conduct".
  • act honestly in connection with any verification checks that we undertake and you must not provide incomplete or misleading information or otherwise seek to circumvent, defeat or act deceitfully in relation to any verification checks. Examples of prohibited actions include providing misleading verification information and using a VPN to seek to access the Rooverse platform from a location where access is prohibited.
  • provide accurate, current and complete information during the registration process and you must not withhold any information that may influence our assessment of your application for an Account;
  • keep your Rooverse Account up to date and notify us immediately of any material change in the information previously provided to us under this section;
  • maintain the confidentiality and security of your Rooverse Account credentials and you must not disclose your credentials to any third party (including other Users).
  • immediately notify Rooverse if you know or have any reason to suspect that your credentials have been lost, stolen, or otherwise compromised or in case of any actual or suspected unauthorised use of your Rooverse Account. You are responsible for any and all activities conducted through your Rooverse Account, unless such activities are not authorised by you and you have not otherwise behaved irresponsibly (such as failing to keep your credentials confidential and secure or report to us the unauthorised use or loss of your credentials).

We will retain any documentation or information provided by you to allow us to verify your identity and will continue to hold such information following the termination of the Agreement in accordance with our Privacy Notice.

You can close your Rooverse Account at any time through your Rooverse Account. See the section titled "Termination, suspension and other measures" for further information.

If you close your Rooverse Account you will no longer have the right to access the Rooverse platform, including any of your Content.

If you wish to access the Rooverse platform following closure of your Rooverse Account, you will need to register a new Rooverse Account in accordance with these Terms of Service.

RooChip Lite

The following additional terms and policies apply:

  • RooChip Lites Terms: RooChip Lite Terms
  • RooChip Lites Reward Policy: this policy governs how users may: (a) be rewarded with RooChips Lites by us, including when users like and share Content on the Rooverse platform; and (b) reward other users with RooChip Lites.

Your right to change your mind and cancel

In the United Kingdom and certain other jurisdictions, you have a legal right to change your mind about the Agreement that you have entered into with us for access to the Rooverse platform. However, once you access the Rooverse Platform, because we make it available to you immediately on request (if you are an Unverified User) or immediately on successful ID verification (if you are a Verified User) you will lose that right when you access the platform. However, we still allow you to terminate this Agreement at any time in accordance with the section titled "Termination, suspension and other measures".

The cancellation rights in this section only cover your right to cancel access to the Rooverse platform. If you cancel the purchase of any additional products or features that we may make available from time to time, your cancellation rights are detailed in the applicable additional terms.

Third party sign in / social login

If you have registered for View Only access only, we may allow you to access your account using authorised third-party sign-in services (e.g. Google and Apple). Those services are provided by third parties and are subject to their own terms and privacy policies.

We are not responsible or liable for the availability or accuracy of such third-party sign-in services and Rooverse does not endorse such third-party sign-in services.

You have the ability to disable the connection between your Rooverse Account and any third-party sign-in services at any time, via the "Settings" section of the Rooverse platform. We may also suspend or restrict access where a third-party provider notifies us that your sign-in may be compromised.

Your rights to access and use the Rooverse platform

Unverified User Access

If you have registered a Rooverse Account as an Unverified User, subject to your compliance with these Terms of Service, Rooverse grants you a limited, personal, non-transferable, right to use the Rooverse platform on your personal device(s) to:

  • access and view any Content that Rooverse itself makes available on or through the Rooverse platform, including proprietary Rooverse content and any Content licensed or authorised for use by or through Rooverse from a third party; and
  • view other users' Content that we make available to you on the Rooverse platform.

However, you will not be able to create, like or share Content (whether your own or other users' Content), engage with other users, use direct messaging functionality, access features powered by the RooChip Lites or access any other features of the Rooverse platform.

Verified User Access

If you have registered a Rooverse Account as a Verified User, subject to your compliance with these Terms of Service, Rooverse grants you a limited, personal, non-transferable, right to use the Rooverse platform on your personal device(s) to:

  • upload, post and store Content created by you;
  • view and share Content created by other users;
  • interact with other users, including through liking and commenting on posts and direct messaging;
  • access and view any Content that Rooverse itself makes available on or through the Rooverse platform, including proprietary Rooverse content and any Content licensed or authorised for use by or through Rooverse from a third party;
  • access certain features and/or platform capabilities that are powered by the RooChip Lites; and
  • use other services, features and functionality that we may make available from time to time,

in each case solely for your own personal use.

You agree that you are only entitled to use the Rooverse platform for the purposes permitted in these Terms of Service and you shall not transfer, give or otherwise permit anyone else access to the Rooverse platform without our express written permission.

Please note that we can suspend, disable and withdraw your access to the Rooverse platform for the reasons allowed in these Terms of Service.

The use of certain services, features and functionality may be subject to additional terms and conditions. By using any of these additional services, features and functionality, you agree to such additional terms and conditions which form shall part of our Agreement with you.

The Rooverse platform and Content may be protected by copyright, trade mark and/or other rights and laws of the United Kingdom and other countries. You acknowledge and agree that the Rooverse platform and Content, including all associated intellectual property rights (such as the Rooverse trade mark and logo), are the property of:

  • in respect of Rooverse Content, Rooverse and/or its licensors or authorising third parties; and
  • in respect of Content of other users, such other users.

You will not use, copy, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast, make derivative works of, merge, adapt, modify, disassemble, de-compile, attempt to derive the source code of, reverse engineer or otherwise exploit any part of the Rooverse platform or any Content, except to the extent:

  • you are the legal owner of certain Content;
  • as expressly permitted in these Terms of Service; or
  • as may be allowed by any applicable law which is incapable of exclusion by agreement.

No licences or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Rooverse or its licensors or by any other users, except for the licences and rights expressly granted in these Terms of Service.

Direct messaging services

The Rooverse platform may enable you to communicate with other users of the Rooverse platform via direct messaging functionality that we may provide on the Rooverse platform.

Your use of the direct messaging service is subject to these Terms of Service and you shall ensure that you comply with the Terms of Service at all times when using the service, including in particular that you will treat us and other users with decency and respect in your use of the service.

We do not charge you for use of the direct messaging service, except for any chargeable premium features which we may offer from time to time, which are subject to additional terms.

We have designed the direct messaging service to be compatible with mobile accessibility functionality.

The direct messaging service relies on the internet and other telecommunication infrastructure and services which are outside of our control, including those provided by your internet and mobile service provider. We therefore do not give any guarantee as to the availability, performance or minimum levels of quality of the direct messaging service, which should not be used or relied upon as your main or important means of communication.

If you have any queries or concerns in respect of the direct messaging service, or wish to make a report (including in respect of messages sent by another user), please notify us using one of the contact methods detailed in the contact us section of these Terms of Service.

Regarding the duration for which we provide any direct messaging services, please see the section titled "Term and Termination, Suspension and other Measures".

Your Content

Our goal is to provide a platform that is free from AI-generated content whilst rewarding authentic participation and interaction between human users. We therefore expect and require users of the Rooverse platform to comply with these Terms of Service and treat us and other users with decency and respect.

A key condition of your use of the Rooverse platform is that you shall not upload, post or share any Content that has been created using gen-AI tools or which has otherwise been created or modified using artificial intelligence tools.

We understand that you may wish to make minor modifications to photos and videos using standard photo and video editing tools such as Adobe Photoshop and Lightroom, Luminar, Adobe Premier Pro, Final Cut Pro, CapCut and that these can include AI functionality. Whilst we may be willing to accept the submission of Content that has been modified using such tools in certain cases, approval of any Content remains at our discretion on a case-by-case basis.

You are solely responsible for all Content that you make available on or through the Rooverse platform. In particular, you confirm and agree that:

  • you are either the sole and exclusive owner of all Content that you make available on or through the Rooverse platform or you have all rights, licenses, consents and releases that are necessary to grant to Rooverse the rights in and to such Content, as contemplated under these Terms of Service; and
  • each of: (a) the Content; (b) the posting, uploading, publication, submission or transmission of the Content; and (c) Rooverse's use of the Content (or any portion thereof) as contemplated under these Terms of Service, in each case will not infringe, misappropriate or breach a third party's patent, copyright, trade mark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the breach of any applicable law or regulation.

We have a number of duties under the Online Safety Act 2023, including regarding illegal content, protecting children's online safety, content reporting and freedom of expression and privacy. This includes commitments to: (a) prevent individuals from encountering certain types of illegal content; and (b) swiftly take down illegal content on becoming aware of it.

Rooverse may review, withhold from distribution/publication, remove or disable access to any user Content that: (a) is calculated to or may reasonably be expected to be likely to breach these Terms of Service; (b) is in breach of laws, regulations, regulatory guidance or codes of conduct; (c) may be otherwise harmful or objectionable to Rooverse, its users or any other person; or (d) Rooverse reasonably determines that it is prudent to do so.

Where Rooverse removes or disables access to any of your Content, Rooverse will notify you and provide the reasons for such a measure, unless: (a) it may prevent or impede the detection or prevention of fraud or other illegal activities, (b) we are legally prevented from doing so or doing; (c) doing so would be contrary to regulatory guidance or the request of a regulatory body or could potentially jeopardise any investigations; (d) we consider that your continued access. You may appeal such a decision via our complaints process.

The Rooverse platform is not provided or intended for use as a primary means of storing and backing up Content. We do not guarantee that any Content will always be accessible on the Rooverse platform or that such Content will not become corrupted, deleted or otherwise unusable. We may also compress and modify Content following it being uploaded to the Rooverse platform, including for the purpose of reducing storage space and optimising the performance of the Rooverse platform. Therefore, we recommend that you keep a copy of and backup your own Content.

The rights you grant to us

By uploading, posting or otherwise making available any Content on or through the Rooverse platform, you grant to Rooverse a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable licence to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such Content to provide and/or promote the Rooverse platform, in any media or platform. This includes the right to:

  • modify and compress your Content, including for the purpose of reducing storage space and optimising the performance of the Rooverse platform; and
  • use the Content in marketing materials, including on other websites, in apps, on emails, and in online and other advertisements in order to promote the Rooverse platform.

If your Content includes personal information, such Content will only be used for the above purposes if such use complies with applicable data protection laws in accordance with our Privacy Notice.

Unless you provide specific consent, Rooverse does not claim any ownership rights in any Content and nothing in these Terms of Service will be deemed to restrict any rights that you may have to use or exploit your Content.

Your conduct

Our goal is for the Rooverse platform to be a safe, respectful and secure environment for our users. We therefore expect and require all users of the Rooverse platform to treat us and other users with decency and respect.

You agree that you shall not use (nor enable or assist the use of) the Rooverse platform in any way or for any purpose (including to create, upload, post, share, transmit, distribute, disseminate or store any Content, messages or other information or material):

  • that is fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive;
  • that discriminates against or harasses anyone, including on the basis of race, national origin, religion, ethnicity, disability (whether physical or mental), medical condition, age, sex, sexual orientation, gender identity, marital status or otherwise, including in any manner that promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group;
  • that depicts sexually explicit image or is otherwise obscene, pornographic, vulgar or offensive;
  • that breaches, facilitates a breach of or circumvents any applicable laws, regulations, guidance or codes of conduct;
  • that is otherwise illegal, harmful, threatening, abusive, disruptive or promotes violence or actions that are threatening to any other person or animal, including that facilitates or promotes any illegal or harmful activities or substances;
  • that is defamatory or libellous or which otherwise breaches or infringes any rights of any third party (including any intellectual property rights, rights in confidential information, under any third-party agreements or otherwise);
  • that is deliberately designed to provoke anger, frustration, or outrage to drive engagement, such as clicks, comments and share; and/or
  • that violates a Rooverse policy.

You further agree that you shall not:

  • use (nor enable or assist the use of) the Rooverse platform in any way to:
    • copy, store or otherwise access or use any information, including personally identifiable information, about any user or other person that violates their privacy or other rights;
    • in connection with the distribution of any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (including any form of 'spam' communications);
    • to store, introduce, transmit, distribute, publish or exploit any virus or vulnerability or commit any denial-of-service attack or distributed denial-of-service attack;
    • for any commercial or other purposes that are not expressly permitted by these Terms of Service or in a manner that falsely implies our endorsement, partnership or otherwise misleads others as to your affiliation with us; and/or
    • use (nor enable or assist the use of) the Rooverse platform in or from a location where access is prohibited by us or otherwise by applicable laws, regulations, guidance or codes of conduct;
  • use the Rooverse platform unless you have been authorised by us to do so and you shall not attempt to, obtain, provide, enable or assist any third party in obtaining access to the Rooverse platform that is not eligible to use the Rooverse platform;
  • use the Rooverse platform in a manner which is competitive to the Rooverse platform, including to build or facilitate a platform, product, service or database that competes with the Rooverse platform;
  • input, submit, integrate or otherwise make available the Rooverse platform or any Content with any artificial intelligence or machine learning systems, models or technologies, algorithms or similar;
  • interfere with or compromise the integrity or security of the Rooverse platform or any Content, including attempt to avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any present or future limits or restrictions on use or security systems or other protective measures in place in respect of any part of the Rooverse platform or any Content;
  • use any automated system, tool or process, including robots, spiders, offline readers, crawlers, or scrapers to access to access, collect or extract Content or data from, or otherwise interact with, the Rooverse platform for any purpose;
  • use, display, mirror or frame the Rooverse platform or Content, or any individual element within the Rooverse platform, Rooverse's name, any Rooverse trade mark, logo or other proprietary information, or the layout and design of any page or form contained on a page in the Rooverse platform, without Rooverse's express written consent;
  • dilute, tarnish, defame or otherwise harm the Rooverse brand in any way, including through unauthorised use of Combined Content, registering and/or using the word Rooverse or derivative terms in domain names, trade names, trade marks or other source identifiers, or registering and/or using domains names, trade names, trade marks or other source identifiers that closely imitate or are confusingly similar to Rooverse domains, trade marks, taglines, promotional campaigns or Content;
  • take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of Rooverse platform;
  • export, re-export, import, or transfer the Rooverse platform or any component of it, except as authorised by the export control laws of your jurisdiction and any other applicable law applicable laws and regulations; or
  • attempt or seek to achieve or facilitate any other person in the doing of any of the above.

Influencers and brand promotion

We understand that Verified Users may wish to:

  • promote brands, products and/or services in respect of which you have a personal connection, including for example as an owner, employee, shareholder or where you have a personal interest (i.e. family and friends); and/or
  • collaborate with third party brands, products and services, which may involve promoting third party brands, products and/or services in exchange for payment or any other incentive or benefit (including where you are given anything for free).

Such promotion may include for example product placements, reviews, endorsements (including acting as brand ambassadors and sponsorships), offering discount codes and providing links in your Content.

We allow you to promote brands, products and services on the Rooverse platform provided that your Content complies with these Terms of Service and applicable laws, regulations, guidelines and codes of conduct, including the Consumer Protection from Unfair Trading Regulations 2008 (CPRs) and the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (the CAP Code).

If you do wish to undertake any such promotional activity, you must ensure that other users should be able to recognise immediately when Content is advertising, without having to click or otherwise interact with such Content. It needs to be clear, obvious and unambiguous so that people should not need any special knowledge or have to 'figure it out'. The easiest way to ensure that Content makes clear when it is advertising is to include a clear and prominent 'Ad' label upfront before people view the rest of the Content.

You are fully responsible for ensuring that you are entitled to promote any brand, products or services.

In no circumstances may you promote any brand, products and/or services where you are prohibited or otherwise not permitted to so by the relevant brand owners or any applicable laws, regulations, guidelines or codes of conduct.

Without prejudice to the above, you shall not promote any brand, products or services in respect of any of the following industries, products or services:

  • Medicine and healthcare products and services;
  • Illegal drugs and associated products and services;
  • Weight loss products or services;
  • Adult and sexual products and services;
  • Animals and animal parts;
  • Cigarettes, tobacco, and nicotine products;
  • Dating services;
  • Financial Services;
  • Gambling;
  • Political advertising;
  • Professional services;
  • Weapons, ammunition, or explosives; and/or
  • Counterfeit products.

In addition, from time to time, we may also prohibit additional and specific brands, industries, products or services which we consider to be harmful to users, incompatible with our ethos or applicable laws, regulations, guidelines and code of conduct.

Other users' content and third-party services

As identified earlier in the Terms of Service we have a number of duties under the Online Safety Act 2023, including regarding illegal content, protecting children's online safety, content reporting and freedom of expression and privacy. This includes commitments to: (a) prevent individuals from encountering certain types of illegal content; and (b) swiftly take down illegal content on becoming aware of it.

We shall also use reasonable care and skill to make the Rooverse platform a safe, respectful and secure environment for our users. However, the majority of Content available on the Rooverse platform is created by Rooverse platform users and we do not verify every post and interaction on the Rooverse platform before it occurs.

In particular, we do not endorse or have any control over any user of the platform and we do not give any guarantee regarding the existence, quality, safety, suitability or legality of any other user Content or any third party's conduct.

Any references to a user being "verified" mean solely that the user has completed a verification process. Any such description is not an endorsement, certification or guarantee by us of any user. We cannot guarantee the user's identity or background or whether the user is genuine, reliable or trustworthy or suitable. All users must exercise care when communicating and interacting with other users, both online and in person.

The Rooverse platform may contain links to third-party websites or resources ("Third-Party Services"). Such Third-Party Services may be subject to different terms and conditions and privacy practices. We are not responsible or liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services. Rooverse does not endorse Third-Party Services.

If you become aware of any Content or Third-Party Services that you consider to infringe these Terms of Service, applicable laws, regulations or regulatory guidance or which you otherwise consider may be harmful, please report it to us so we can take appropriate action. Community users can report violations on the Rooverse platform though our reporting functions. See also the section of these Terms of Service headed Reporting & Complaints.

Summary of your key legal rights under the Consumer Rights Act 2015

Quality of digital content

Under the CRA digital content must be as described, fit for purpose and of satisfactory quality.

Your remedies

If your digital content is faulty, you are entitled to a repair or a replacement. In the content of digital content, "repair" means making the digital content conform with the contract.

If the fault cannot be fixed, or if it has not been fixed within a reasonable time and without significant inconvenience, you can get some or all of your money back.

If you can show the fault has damaged your device and we have not used reasonable care and skill, you may be entitled to a repair or compensation.

We shall provide reasonable care and skill in providing the Rooverse platform and we aim to ensure the Rooverse platform will comply with any description provided by us and will be of satisfactory quality/fit for the purposes for which we make it available to you as detailed in these Terms of Service. However, you acknowledge that we charge no, or only a nominal fee, for use of the Rooverse platform and the Rooverse platform is only being provided for personal casual and occasional use. It is therefore not intended to be used for commercial purposes or as e.g. a primary means of storing Content, communicating with others or otherwise for important matters or purposes.

In addition, in light of the nature of technology, no platform, software or infrastructure can be guaranteed as completely error free or continually available and as such, we do not give any guarantee regarding:

  • the availability of the Rooverse platform, any Content on it or any features; or
  • that the Rooverse platform, any Content on it or any features will be entirely error-free.

In particular, the existence of minor errors or defects/periods of unavailability which do not materially detract from your use/enjoyment of the Rooverse platform will not be regarded as making the Rooverse platform of unsatisfactory quality/unfit for purpose and as such will not entitle you to claim any price reduction or right of repair.

We shall also not be responsible for interruptions to the availability of the Rooverse platform or of the internet and telecommunications infrastructure in general. Rooverse may also restrict the availability of all or parts of the Rooverse platform if necessary to ensure or enhance the functioning of the Rooverse platform or otherwise.

Changes to the platform

We may modify the Rooverse platform and introduce new Rooverse Services at any time in our sole discretion, including making additions, alterations or deletions to them for the purpose of: (a) improving, updating or upgrading existing functionality; (b) making new features, functionality, applications or tools available; (c) reflecting changes to technology or market practice; (d) correcting defects and other issues, including the implementation of patches, work-arounds and fixes; (e) complying with the requirements of third party providers; (f) addressing security concerns; or (g) addressing applicable laws or regulatory obligations or otherwise to reflect any legal, regulatory or market-based changes or guidance of codes of conduct.

Your access to and use of any modifications or new Rooverse services (including any new features, functionality, applications or tools) may be subject your acceptance of updated or further terms and conditions and such additional charges as are specified by us in advance of the provision of the updates to which they relate.

We shall give you prompt written notice of material modifications to the Rooverse platform.

If you have downloaded any app that we make available as part of the Rooverse platform and you choose not to install any updates that we make available, or if you opt out of automatic updates you may not be able to continue using the app, or it may cease to function correctly or at all. In such a case, except for any liabilities that we cannot exclude by law (as identified in the Liabilities section) we shall not be responsible to you for any loss or damage sustained by you while using an out-of-date version of the app.

Changes to these Terms of Service

We reserve the right to modify these Terms of Service and any additional terms and policies at any time. The revised Terms of Service will be emailed to you and posted on the Rooverse platform dated as of date at the top of these Terms of Service. We will also ask you to confirm your agreement to the revised Terms on your next login to the Rooverse platform. If you disagree with the revised Terms of Service, you may terminate the Agreement with immediate effect. Termination will have the effect set out in the section headed Termination, Suspension and other Measures. If you do not terminate your Agreement, your continued access to or use of the Rooverse platform will constitute acceptance of the revised Terms.

We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Rooverse platform ("Feedback"). Any Feedback you submit to us will be considered non-confidential and non-proprietary to you. By submitting Feedback to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish your Feedback or any of it for any purpose, without compensation to you.

Reporting and complaints

We seek your support in helping us identify infringing and harmful activity on the Rooverse platform. If you become aware of any Content, users, Rooverse Accounts or Third-Party Services that you consider infringe these Terms of Service, applicable laws, regulations or regulatory guidance or which you otherwise consider may be harmful, please report it to us so we can take appropriate action using one of the contact methods detailed in the Contact us section of these Terms of Service. Users can report violations on the Rooverse platform though our reporting functions.

Disputes

You have several options for resolving disputes with us

Our team will work hard to quickly find a satisfactory solution to these complaints, except in relation to frivolous, vexatious or repetitive complaints.

You can go to court. These Terms of Service and your Agreement with us is governed by English law and wherever you live you can bring claims against us in the English courts. If you live in Wales, Scotland, Northern Ireland and/or in certain other countries, you can also bring claims against us in the courts of the country you live in. We can claim against you in the courts of the country you live in.

Termination, suspension and other measures

The Agreement begins when you accept these Terms of Service and continues until you or Rooverse terminate the Agreement in accordance with this clause.

Your right to terminate.

You may close your Rooverse Account and terminate the Agreement at any time by closing your Rooverse Account and stopping your use of the Rooverse platform. You may also contact our Customer Service Team using one of the contact methods detailed in the contact us section of these Terms of Service.

Our rights to terminate, suspend and limit access

Rooverse may immediately, without notice to you: (a) terminate the Agreement; (b) temporarily or permanently suspend your Rooverse Account and stop providing access to the Rooverse platform; (c) limit your access to or use of the Rooverse platform; and/or (d) delete or remove any user Content:

  • if we reasonably believe that you have breached your obligations under these Terms of Service;
  • if we reasonably believe that you have breached applicable laws, regulations or your activity is otherwise contrary to regulatory guidance or codes of conduct;
  • if we are requested to do so by a relevant regulatory body, the police or by order of a court
  • such action is necessary to protect Rooverse (or any of its personnel), any user or any other person third parties;
  • if you fail to meet any applicable eligibility criteria;
  • if Rooverse becomes aware of or has received complaints about your conduct;
  • it is necessary to deal with a serious technical or security issue;
  • if you choose not to install any updates that we make available, or if you opt out of automatic updates;
  • if any of the events set out below under the heading "Things outside of our control" arise.

We may exercise our rights in respect of the Rooverse platform and our Agreement with you as a whole or in part, including in respect of particular services, functions or features of the Rooverse platform or provisions of the Terms of Service.

Whilst we are investigating any issue prior to us taking any final action, we may delete or remove some or all of your Content or suspend your access to some or all services, functions or features of the Rooverse platform.

Although we would typically expect to notify you of any concerns before taking further action, it may not always be appropriate for us to do so, including for example if: (a) it may prevent or impede the detection or prevention of fraud or other illegal activities, (b) we are legally prevented from doing so; (c) doing so would be contrary to regulatory guidance or the request of a regulatory body or could potentially jeopardise any investigations; (d) we consider that your continued access may cause harm to Rooverse (or any of its personnel), any user or any other person.

If you think we have made a mistake in terminating, suspending or restricting access to your Rooverse Account or any Content, you can appeal by contacting us using one of the contact methods detailed in the contact us section of these Terms of Service.

If you close your Rooverse Account or your Agreement is terminated for any reason, you will no longer have the right to access the Rooverse platform, including any of your Content.

If you wish to access the Rooverse platform following closure of your Rooverse Account, you will need to register a new Rooverse Account in accordance with these Terms of Service. If your access to or use of your Rooverse Account or the Rooverse platform has terminated or suspended by us, you may not register a new Rooverse Account or access and use the Rooverse platform through the Rooverse Account of another person.

Termination of the Agreement does not affect any rights either you or we have acquired up to the date of termination.

Our liability to you

If we fail to comply with our obligations to you under the Agreement, we are responsible to you for certain loss or damage which you suffer that is a foreseeable / expected result of our breach of our obligations. However, we are not liable to you for the following types of loss and damage which shall not be recoverable by you from us:

  • Loss and damage not incurred: we are only liable to you for loss and damage which you actually suffer as a direct result of us breaching our obligations to you under the Agreement.
  • Unexpected losses or unusual loss and damage: if it was not obvious to us when we entered into our Agreement with you that you might suffer any unexpected or unusual loss and damage resulting from our breach/you did not tell us at that time about the risk that you might suffer that type of loss and damage (often referred to in law as "indirect and consequential loss"), then we do not accept liability to you for that type of loss or damage.
  • Avoidable losses: we will not be liable to you for any loss or damage which you could have avoided or mitigated by taking reasonable actions, including following our reasonable instructions for use or installing any updates, latest versions, etc.
  • Loss and damage caused by a delay outside our control: we will not be liable to you for any loss and damage caused as a result of any events outside of our reasonable controls (such as poor weather or strikes – see section titled "Things outside our control") as long as we have taken reasonable steps to try and mitigate the impact of those events to the extent reasonable possible.
  • No business losses: We only provide the Rooverse platform for domestic and private use. We are not liable for business losses, including for example loss of profit, loss of revenues, loss of business, loss of goodwill, business interruption or loss of business opportunity.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors or for fraud or fraudulent misrepresentation.

Things outside our control

We are not responsible for delays outside our control (whether caused, for example by interruption or failure of the internet or telecommunication infrastructure, inclement weather, fire, flood or other natural disaster, accident, trade dispute, government action, epidemic, pandemic, or any other reason beyond our control). If our provision of the Rooverse platform is delayed because of an event outside our control that affects Rooverse, then we will contact you to let you know and we will take steps to minimise the effect of the delay. Provided we do this, we will not be responsible for delays caused by the event.

Applicable law

These Terms of Service and your Agreement with us is governed by English law and wherever you live you can bring claims against us in the English courts.

General provisions

If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these Terms of Service operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

We may transfer this agreement to someone else. We may transfer our rights and obligations under these Terms of Service to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under these Terms of Service.

You need our consent to transfer your rights to someone else. The Agreement is personal to you and you may only transfer your rights or your obligations under your contract with us to another person if we agree to this in writing.

Entire agreement. The Agreement, including these Terms of Service and any additional terms and polices that may apply as identified in the section titled "Additional Terms and policies" constitute the entire agreement between Rooverse and you relating to your use of the Rooverse platform and supersede and replace all other understandings or agreements (whether oral or in writing) between Rooverse and you in relation to the access to and use of the Rooverse platform.

Enforcement by others. These Terms of Service do not and are not intended to confer any rights or remedies upon any person other than you and us.

Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms of Service, or if we delay in taking steps against you in respect of your breach of these Terms of Service, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

Notices. Unless specified otherwise, any notices or other communication to be given to users, will be provided electronically and given by Rooverse via email, Rooverse platform notification or messaging service
